1. Agreement to Terms
By accessing or using the Xcript platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.
2. Description of Service
Xcript provides a cryptographic software licensing platform that enables developers to:
- Create and manage software licenses with Ed25519 cryptographic signatures
- Validate licenses via REST API with machine fingerprinting
- Control activation limits and access to software products
- Monitor license usage through a web dashboard
- Integrate licensing via official SDKs (
@xcript-dev/sdk,@xcript-dev/next)
3. Account Registration
To use the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for safeguarding your account credentials, including your API keys (prefixed with xk_). You must not share your API keys in client-side code, public repositories, or any publicly accessible location.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable local, state, national, or international law
- Transmit any malware, viruses, or destructive code
- Attempt to gain unauthorized access to other users' accounts or data
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to circumvent licensing protections on third-party software
- Exceed rate limits or abuse the API in a manner that degrades service for others
- Resell, sublicense, or redistribute the Service without prior written consent
5. API Usage & Rate Limits
The Xcript API is provided for license validation and management. While the validation endpoint (/api/v1/validate) has no rate limit for production use, we reserve the right to throttle or suspend access if usage patterns indicate abuse. Authentication endpoints are rate-limited to 5 requests per minute per IP address.
6. Intellectual Property
The Service and its original content, features, and functionality are owned by Xcript and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Your license data, software products, and configurations remain your intellectual property.
7. Service Level Agreement (SLA)
Uptime Commitment
Xcript targets 99.9% uptime for the API and dashboard services. Planned maintenance windows will be communicated at least 48 hours in advance via email and our status page.
Offline Resilience
The Xcript SDK includes built-in offline caching with a configurable grace period (default: 72 hours). This ensures your end users' applications continue to function during temporary service interruptions, providing resilience beyond our uptime guarantee.
Data Integrity
All validation responses are signed with Ed25519 cryptographic signatures. This guarantees that responses have not been tampered with, regardless of network conditions.
8. Payment Terms
Paid plans are billed on a monthly or annual basis. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice. Downgrading your plan may result in the loss of features or capacity available to your account.
9. Termination
We may terminate or suspend your account immediately, without prior notice, if you breach these Terms. Upon termination, your right to use the Service will immediately cease. You may also delete your account at any time from the Settings page. Upon deletion, we will remove your data within 30 days, except where retention is required by law.
10. Limitation of Liability
To the maximum extent permitted by law, Xcript shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of (or inability to access or use) the Service.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
12. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to use the Service after those revisions become effective, you agree to be bound by the revised terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Xcript operates, without regard to its conflict of law provisions.
